Cleaning Services Agreement

The biggest issue with oral agreements is that they are notoriously difficult to prove. If there's a dispute between an independent contractor and a client, it would be complicated to find all the necessary evidence to support either side. However, all of that goes away if there is a contract.

A cleaning company works as an independent contractor. Per the law of the United States and many other countries, independent contractors and employees are treated differently.

If your cleaning company wants to be paid regularly and on time, you should add a clause that announces the charging of penalties for late and missed payments and perhaps interest charged on the past-due amount. Of course, your clients can object to those penalties, in which case you can renegotiate the terms or outright refuse the job.

In most cases, whether it’s a residential or commercial location, people will want to ensure that their privacy is protected. The Confidentiality Clause ensures that the cleaning company would not, under the threat of penalty, disclose any information to a third party.

If you as the cleaning company want to terminate the agreement, you will have to give the client a notice pursuant to the notice clause (perhaps so they can find another cleaning company but that would not be any of your business at that point). On the other hand, it can also be helpful for your cleaning company in planning future work schedules accordingly.
